01 Introduction & Acceptance

Welcome to ChloeZ. These Terms & Conditions ("Terms") form a binding agreement between you ("you", "User") and ChloeZ, a company incorporated in the Federal Republic of Nigeria ("we", "us", "our"), governing your access to and use of the ChloeZ website, mobile applications, and all related courses, live classes, AI tools, exam-prep features, certificates, and services (together, the "Services").

By creating an account, accessing, or using the Services in any way, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree, you must not access or use the Services.

02 Definitions

Capitalised terms used throughout these Terms have the meanings given below, in addition to any defined elsewhere in this document.

03 Eligibility & Accounts

1. You must provide accurate, current, and complete information when creating an Account, and keep that information up to date.
2. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your Account. Notify us immediately at support@quickaidng.com if you suspect unauthorised use.
3. Each Account is intended for use by a single individual. Sharing an Account or reselling access is not permitted.
4. ChloeZ may decline to open, or may suspend, an Account where information provided is false, misleading, or where we reasonably suspect fraud or abuse.
5. Tutor accounts are subject to an additional verification and approval process described in Section 6.

04 Our Services

ChloeZ provides an evolving set of learning tools, which currently include or are intended to include:

• On-demand, self-paced video courses across programming, data science, exam preparation, design, business, and other subjects;
• Live, tutor-led classes delivered by video, including scheduling, screen sharing, and session recordings;
• An AI study companion that answers questions, generates practice material, and summarises study progress (see Section 12);
• A computer-based testing (CBT) engine for exam practice, including WAEC, JAMB, NECO, and similar past-question drills and timed mock exams;
• Study Hub tools such as notes, flashcards, and spaced-repetition review;
• Community and chat features connecting Students, Tutors, and study groups;
• Digital Certificates issued on completion of eligible Courses or assessments; and
• A marketplace through which approved Tutors may offer Courses and Live Classes to Students.

We may add, modify, suspend, or discontinue any part of the Services at any time. Some features may be released in beta or limited form and are provided "as is" during that period, without the warranties otherwise described in these Terms.

05 Subscriptions, Fees, Payments & Refunds

5.1 Pricing and currency

Prices for Courses and Subscriptions are displayed in Nigerian Naira (₦) unless stated otherwise, and are subject to change. Where we increase the price of an active Subscription, we will give you reasonable notice before the change takes effect.

5.2 Payment processing

All payments are processed through our third-party payment processors — primarily Paystack, and, for select payment methods, Stripe and NOWPayments (which supports cryptocurrency payments). By making a purchase, you authorise the applicable charge to your selected payment method and agree to the relevant processor's own terms governing payment processing. ChloeZ does not store your full card, wallet, or bank account details.

5.3 Subscriptions (ChloeZ Plus)

Subscriptions such as ChloeZ Plus renew automatically at the end of each billing period until cancelled. You may cancel at any time from your account settings; cancellation takes effect at the end of the current billing period, and you will retain access until then. We do not provide prorated refunds for the unused portion of a billing period.

5.4 Refunds

• Self-paced Courses purchased individually may be refunded within 7 days of purchase, provided less than 20% of the Course has been completed.
• Live Class seats are non-refundable once the class has started, but may be refunded or rescheduled if cancelled by the Tutor or ChloeZ.
• Fees paid for exam-prep bundles, certificates already issued, or Subscription periods that have already elapsed are non-refundable, except where required by applicable law.
• Refunds, where approved, are returned to the original payment method within a reasonable time and may take additional time to reflect depending on your bank or payment provider.

We reserve the right to refuse a refund where there is evidence of abuse of this policy.

06 Teaching on ChloeZ

1. Tutors apply to teach on ChloeZ and are subject to identity verification and a review of their qualifications and proposed Course content before approval.
2. Tutors act as independent contractors, not as employees, partners, or agents of ChloeZ. Tutors are solely responsible for their own tax obligations arising from income earned through the Platform.
3. Tutors set their own rates within any limits ChloeZ publishes from time to time. ChloeZ retains a service fee of 20% of each Course sale or Live Class booking, with the balance paid out to the Tutor on a weekly payout cycle, subject to a minimum payout threshold and identity/bank verification.
4. By submitting Course content, a Tutor grants ChloeZ the licence described in Section 10 to host, stream, and promote that content on the Platform.
5. Tutors must deliver Live Classes and respond to Students professionally, and must not solicit Students to transact outside the Platform to avoid ChloeZ's service fee. Doing so may result in suspension or removal from the tutor marketplace.
6. ChloeZ may remove a Tutor's Course, suspend a Tutor account, or withhold payouts pending investigation where we reasonably believe these Terms, our tutor guidelines, or applicable law has been violated.

07 Acceptable Use

You agree not to, and not to assist anyone else to:

• Cheat, impersonate another person, or otherwise compromise the integrity of a CBT exam, mock test, or assessment;
• Share, sell, or publish Course videos, question banks, notes, or other Content outside the Platform without written permission;
• Use automated means (scraping, bots, crawlers) to access or extract data from the Platform;
• Reverse-engineer, decompile, or attempt to derive the source code of the Platform, except as permitted by law;
• Upload viruses, malware, or any code intended to disrupt the Platform;
• Harass, threaten, defame, or discriminate against any other User, Tutor, or ChloeZ staff member;
• Use the Services for any unlawful purpose or in a manner that infringes another person's rights; or
• Circumvent, disable, or interfere with security features of the Platform or payment flows.

We may investigate suspected violations and take action ranging from content removal to Account suspension or termination, at our discretion and, where appropriate, in cooperation with law enforcement.

08 Live Classes & Community Conduct

Live Classes and community/chat spaces are shared environments. To keep them safe and useful:

• Live Classes may be recorded for quality assurance, dispute resolution, and replay by enrolled Students; by joining a Live Class you consent to being recorded as part of that session.
• Respectful conduct is required at all times, particularly given that many participants are minors. Tutors and moderators may mute, remove, or report a participant who is disruptive, abusive, or otherwise violates these Terms.
• Community chat, direct messages, and group features must not be used to solicit payments outside the Platform, share contact details for off-platform tutoring arrangements, or distribute content unrelated to learning.
• We may, without notice, remove content or suspend access to community features where necessary to protect other Users, particularly minors.

09 Intellectual Property

The Platform, our branding, logos, software, course structure, question banks authored by ChloeZ, and all associated intellectual property are owned by ChloeZ or our licensors and are protected by Nigerian and international intellectual property law.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and view Course Content for your personal, non-commercial educational use. This licence does not permit you to download (except where an explicit "download" or "offline" feature is provided), reproduce, distribute, publicly perform, sell, or create derivative works from any Content.

10 User Content & Licence

You retain ownership of Content you submit to the Platform, such as notes, chat messages, forum posts, and — for Tutors — Course materials. By submitting Content, you grant ChloeZ a worldwide, royalty-free, sub-licensable licence to host, store, reproduce, display, and distribute that Content solely for the purposes of operating, providing, and promoting the Services.

You are solely responsible for Content you submit and must have all rights necessary to grant the licence above. If you believe Content on the Platform infringes your intellectual property rights, contact support@quickaidng.com with details of the material and your claim, and we will investigate.

11 Certificates & Verification

• ChloeZ issues a digital Certificate on completion of eligible Courses or assessments, each with a unique, publicly verifiable link.
• A ChloeZ Certificate confirms that you completed the relevant Course or assessment on our Platform. Unless expressly stated on the Certificate, it is not an accredited academic qualification and does not itself guarantee any employment, admission, or examination outcome.
• We may revoke or invalidate a Certificate obtained through fraud, cheating, or a violation of these Terms, and may reflect that revocation on the public verification page.

12 AI Features & Limitations

ChloeZ's AI study companion and related AI-generated quizzes, summaries, and feedback are study aids intended to support — not replace — structured learning and qualified human instruction.

• AI-generated responses may occasionally be inaccurate, incomplete, or out of date. You should independently verify important information, particularly ahead of a formal examination.
• Do not rely on AI-generated content as the sole basis for high-stakes academic, financial, medical, or legal decisions.
• We may use interaction data with AI features, in accordance with our Privacy Policy, to improve the quality and personalisation of the Services.

13 Privacy

Our collection, use, and protection of your personal data is described in our Privacy Policy, which forms part of these Terms. We process personal data in line with the Nigeria Data Protection Act and, where applicable, other relevant data protection law. By using the Services, you consent to that processing as described in the Privacy Policy.

14 Third-Party Services & Disclaimers

The Platform relies on third-party providers, including our payment processor and video-conferencing infrastructure, and may link to third-party websites or resources. We are not responsible for the content, accuracy, or practices of third-party services, and your use of them is subject to their own terms.

The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including that the Services will be uninterrupted, secure, or error-free. While we design our Courses and exam-prep tools to support strong outcomes, we do not guarantee any specific exam score, grade, certification, admission, or employment result from using the Services.

15 Limitation of Liability & Indemnification

To the maximum extent permitted by law, ChloeZ and its directors, employees, and Tutors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill, arising from your use of the Services.

Our total aggregate liability to you for any claim arising from these Terms or the Services is limited to the amount you paid to ChloeZ in the twelve (12) months preceding the event giving rise to the claim.

You agree to indemnify and hold ChloeZ harmless from any claim, loss, or expense (including reasonable legal fees) arising from your breach of these Terms, misuse of the Services, or violation of another person's rights.

16 Term, Suspension & Termination

These Terms take effect when you first access the Services and continue until your Account is closed by you or by us. You may close your Account at any time through your account settings or by contacting support@quickaidng.com.

We may suspend or terminate your Account, with or without notice, where we reasonably believe you have violated these Terms, engaged in fraudulent or unlawful conduct, or where required by law. Sections of these Terms that by their nature should survive termination — including Intellectual Property, User Content licence, Limitation of Liability, and Governing Law — will continue to apply after your Account is closed.

17 Governing Law & Dispute Resolution

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law principles.

If a dispute arises, please contact us first at support@quickaidng.com so we can attempt to resolve it informally. If we are unable to resolve a dispute informally within a reasonable time, it will be subject to the exclusive jurisdiction of the courts of Delta State, Nigeria.

18 Changes to These Terms

We may update these Terms from time to time to reflect changes to the Services or for legal, regulatory, or operational reasons. Where changes are material, we will provide reasonable notice, such as an in-app notice or email, before they take effect. The "Last updated" date at the top of this page indicates when these Terms were last revised. Your continued use of the Services after a change takes effect constitutes acceptance of the updated Terms.
